10. Payments, Refunds & Chargebacks
  • All sales are final, except where required by law.
  • Subscription services may auto-renew unless canceled before the renewal date. You are responsible for timely cancellation to avoid future charges.
  • Refunds will not be granted for partial subscription periods or unused services.
  • Chargebacks without legal basis may be treated as fraud.
  • Unpaid balances may be referred to collections.

11. Third-Party Tools and Platforms
  • We may integrate third-party services (e.g., brokers, webinar platforms, data providers). We do not guarantee their reliability, security, or accuracy.
  • Your use of third-party tools is at your own risk.

12. Acceptable Use & Conduct
You agree not to:

  • Engage in fraud, abuse, or illegal activities.
Violation may result in termination and legal action.

22. Force Majeure
We are not liable for service delays or failures caused by events beyond our control (e.g., natural disasters, cyberattacks, power outages, strikes, or government restrictions).

23. Dispute Resolution & Arbitration
  • You agree to attempt resolution by emailing [email protected] before pursuing formal claims.
  • If unresolved, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA) in Florida.
  • YOU WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.
  • Arbitration costs and fees will be allocated in accordance with AAA rules.
  • Each party is responsible for its own attorneys’ fees unless otherwise required by law.
  • The arbitrator has exclusive authority over disputes about enforceability of this arbitration clause.
  • Arbitration shall be the exclusive forum for disputes, except that either party may bring eligible claims in small claims court in Florida.
  • Opt-Out: You may opt out of arbitration within 30 days of first use by emailing [email protected].
  • If the class action waiver is invalidated, this arbitration provision is void.

24. Export Controls & Sanctions
You represent and warrant that you are not located in or associated with any country subject to U.S. sanctions (e.g., Cuba, Iran, North Korea, Syria, Crimea) and are not listed on the OFAC SDN list.

25. Changes to Services
We may modify, suspend, or discontinue services or features at any time without liability.

26. Governing Law
These TOS are governed by the laws of Florida, excluding conflict-of-law rules.
All permitted court actions must be brought in state or federal courts in Florida.
IP-related claims may be brought in federal court.

27. Termination
  • We may suspend or terminate access at any time, for any reason or no reason, in our sole discretion, including for violations of these TOS or business necessity.
  • Upon termination, access to purchased content may be revoked, except where otherwise required by law or by the specific terms of sale.
  • Termination does not relieve you of payment, indemnification, or other surviving obligations.

28. Severability
If any part of these TOS is held unenforceable, the remaining provisions remain valid.

29. Entire Agreement
These TOS and our Privacy Policy constitute the entire agreement between you and Grok Trade, LLC, superseding all prior agreements.

30. Survival
Provisions regarding intellectual property, disclaimers, indemnification, arbitration, limitation of liability, and governing law survive termination.

31. Electronic Communications
By using our services, you consent to receive electronic communications. All agreements and notices provided electronically satisfy legal “in writing” requirements. Electronic signatures are legally binding.
